A good brand needs solid foundations. Long before we became involved in industrial property law, we were already providing legal services to companies, often with strong, widely recognised brands. We continue to do so. We merge, restructure and sometimes liquidate companies. We work with external advisers on aspects where we do not advise ourselves, including tax advisers. We only do what we know best.
Commercial law
We advise on a wide range of corporate law issues. Within our services we advise at the stage of establishing a company, help to choose the right legal form of business. We draft all necessary documents to establish and register a company. We assist in the process of drafting an appropriate memorandum or articles of association in order to secure the interests of the shareholders we represent. In the case of existing entities, we provide ongoing advisory services. We prepare company resolutions, we advise on the appointment and dismissal of company’s officers. We support our clients in concluding agreements and take part in negotiations in order to mitigate the risks associated with their activities as much as possible.
Legal due diligence
When our clients are interested in purchasing another business, whether in the form of acquiring assets or through purchase of shares, it is always necessary to carry out a due diligence report. We advise on the appropriate form of transaction, if only with regard to the liability for the purchased business.
As part of a due diligence process, together with specialists from other fields (e.g. technology, tax, etc.), we carry out an examination to assess the real condition of the company and estimate the potential risks associated with the planned transaction. The outcome of the study often determines the purchase price, the method or form of payment.
